These Terms and Conditions govern all web design and development services provided by
Aleksandra ("Alex Web Expert," "I," "me," or "my") through the website
alexwebexpert.com. By engaging my services or confirming a project
proposal, you (the "Client") agree to be bound by these terms in full. Please read
them carefully before proceeding.
Section 01
Services
Alex Web Expert provides professional Webflow design and development services,
including but not limited to:
- Custom Webflow website design and development (using Client-First / Finsweet framework)
- Platform migrations to Webflow (from WordPress, Wix, Squarespace, and other platforms)
- Webflow CMS setup, structuring, and content management configuration
- Website performance audits, UX optimization, and site restructuring
- Ongoing Webflow support and maintenance retainers
- Custom JavaScript and code integrations where native Webflow falls short
All services are detailed in a project proposal or Statement of Work (SOW) provided
before work begins. Services not listed in the agreed SOW are considered out of scope
and subject to additional fees.
Section 02
Project Proposals and Agreements
A project begins only after the Client has reviewed and accepted a written proposal
or SOW and paid the required deposit. Acceptance may be made via email confirmation
or a signed agreement.
The proposal defines the project scope, deliverables, timeline, and fees. Any changes
to scope after acceptance require a written change order (see Section 6).
Section 03
Fees and Payment
3.1 Project Deposit
A non-refundable deposit of 50% of the total project fee is required before any
work commences. The remaining balance is due upon project completion and prior to
the final site transfer or launch.
3.2 Invoicing
Invoices are issued electronically and are due within 14 calendar days of the
invoice date unless otherwise stated in the proposal. Late payments are subject
to a 1.5% monthly late fee on the outstanding balance.
3.3 Retainers
Ongoing retainer agreements are billed monthly in advance. Unused retainer hours
do not roll over to the following month unless explicitly agreed in writing.
Retainers may be cancelled with 30 days' written notice.
3.4 Expenses
Third-party costs (Webflow plans, fonts, stock images, plugins, domain fees, etc.)
are the responsibility of the Client unless explicitly included in the proposal.
I will obtain written approval before incurring any expenses on the Client's behalf.
Section 04
Project Timeline and Delivery
Project timelines are provided in the proposal and are estimates based on
information available at the time of agreement. Timelines are contingent on the
Client providing required materials, feedback, and approvals on schedule.
Delays caused by the Client (including late content delivery, slow review cycles,
or scope changes) will extend the project timeline accordingly. If a project is
paused for more than 30 days due to Client inaction, it may be rescheduled and a
restart fee may apply.
Section 05
Client Responsibilities
The Client agrees to:
- Provide all required content, assets, credentials, and feedback in a timely manner
- Designate a single point of contact with authority to approve deliverables
- Review and provide consolidated feedback within the timeframe specified in the proposal
- Ensure all materials provided are owned by the Client or properly licensed for use
- Maintain their own Webflow plan, hosting, and domain registrations as needed
- Not share login credentials for any systems without my prior written consent
Section 06
Revisions and Change Requests
Each project includes a defined number of revision rounds as stated in the proposal.
Revisions are defined as minor adjustments to agreed deliverables (text changes,
color tweaks, layout refinements).
Requests that alter the original scope, add new features, or require significant
rework are considered change requests and will be quoted and billed separately at my
current hourly rate. All change requests must be submitted in writing and accepted
by both parties before additional work begins.
Section 07
Intellectual Property and Ownership
7.1 Client-Provided Materials
The Client retains full ownership of all content, images, logos, and other
materials they provide. The Client warrants that they hold the necessary rights
to use and reproduce all such materials.
7.2 Final Deliverables
Upon receipt of full payment, the Client receives full ownership of the final
website deliverables built specifically for their project, including the Webflow
site, CMS structure, and custom code written for them.
7.3 Pre-existing Work and Frameworks
Ownership does not extend to third-party frameworks (such as Client-First by
Finsweet or Relume components), pre-built code libraries, or tools that are
licensed independently. I retain the right to use general skills, methodologies,
and non-proprietary code in future projects.
7.4 Portfolio Rights
Unless the Client requests confidentiality in writing, I reserve the right to
display the completed work in my portfolio, website, and social media profiles.
Section 08
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information
shared during the course of the project. I will not disclose Client business data,
strategies, or credentials to third parties without prior written consent, except
as required by law.
Section 09
Cancellation and Termination
9.1 Client Cancellation
If the Client cancels a project after work has begun, the deposit is
non-refundable. Any work completed beyond the deposit value will be invoiced
and due within 14 days. Partial deliverables will be provided upon receipt
of outstanding payment.
9.2 Termination by Alex Web Expert
I reserve the right to terminate a project if the Client behaves in an abusive
manner, fails to make required payments, or materially breaches these terms.
Payment for all work completed to date will be immediately due upon termination.
Section 10
Warranties and Disclaimers
I warrant that services will be performed with professional skill and care, and
that deliverables will substantially conform to the agreed specification at the
time of delivery.
I do not warrant that the website will be free from all bugs or errors after
launch, or that Webflow (as a third-party platform) will remain uninterrupted or
unchanged. I am not responsible for issues caused by Webflow platform updates,
hosting outages, or third-party integrations outside my control.
Section 11
Limitation of Liability
To the maximum extent permitted by applicable law, my total liability to the
Client for any claim arising from or related to these terms or the services
provided shall not exceed the total fees paid by the Client for the specific
project giving rise to the claim.
In no event shall I be liable for indirect, incidental, special, consequential,
or punitive damages, including but not limited to loss of profits, loss of data,
or loss of business, even if I have been advised of the possibility of such damages.
Section 12
Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance
with the laws of the United States. In the event of any dispute, both parties
agree to first attempt resolution through good-faith negotiation.
If a resolution cannot be reached, disputes shall be submitted to binding
arbitration in accordance with applicable arbitration rules before pursuing
litigation.
Section 13
Changes to These Terms
I reserve the right to update these Terms and Conditions at any time. Changes
will be posted on alexwebexpert.com with the updated effective date. Continued
engagement of my services after changes are posted constitutes acceptance of
the revised terms.
